LEGAL

Clear terms for a private agent platform.

These Terms & Conditions govern the Legacy Lead Factory website, application experience, and private lead-program information available to approved Legacy agents.

Effective August 22, 2026Legacy Insurance Agency, LLC d/b/a Legacy Trust Financial

These Terms & Conditions (the “Terms”) apply to your access to and use of legacyleadfactory.com, related application pages, forms, communications, and information concerning the Legacy Lead Factory (collectively, the “Site”). The Site is operated by Legacy Insurance Agency, LLC d/b/a Legacy Trust Financial (“Legacy,” “we,” “us,” or “our”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Scope and relationship to signed agreements

The Site provides general information and a path for active Legacy agents to request access to private lead programs. These Terms do not replace any Independent Producer Agreement, Lead Program Agreement, Chargeback and Reserve Agreement, Compensation Schedule, carrier agreement, compliance acknowledgment, or other signed agreement. If these Terms conflict with a signed agreement, the signed agreement controls.

2. Eligibility and approval

Lead Factory access is reserved for active Legacy agents who satisfy all applicable licensing, appointment, agreement, carrier-readiness, system, training, certification, and current eligibility requirements. Submitting an application or inquiry does not create a right to access, approval, leads, or any particular program. Legacy may approve, limit, pause, or decline access based on current requirements and operational capacity.

3. Private, in-house opportunity programs

The Legacy Lead Factory is private infrastructure for approved Legacy agents; it is not a public lead store or open checkout page. Lead programs are generated and managed in-house by Legacy rather than purchased for public resale. Availability may vary by product, state, licensing, appointment status, campaign capacity, agent readiness, performance, compliance history, and other program controls.

4. No guarantee of results

Legacy does not guarantee approval, lead availability, lead volume, contact rates, appointments, applications, placements, commissions, sales, profitability, income, or any other result. Outcomes depend on many factors, including market conditions, consumer response, licensing, product fit, follow-up, sales skill, carrier decisions, and compliance. Nothing on the Site is an earnings claim, financial projection, or promise of business success.

5. Delivery, replacements, and program questions

Delivery methods, schedules, pricing or cost-sharing, replacement eligibility, dispute windows, credits, pauses, and agent responsibilities are governed by the agent’s approved lead plan and applicable signed agreements. Site descriptions are general and may not reflect every program rule. Questions or reported issues must be submitted through the designated Legacy workflow within the time allowed by the applicable program. Agents may not issue their own credits, reversals, or offsets.

6. Agent responsibilities

Agents are responsible for maintaining all required licenses, appointments, errors-and-omissions coverage, carrier authorization, and training. Agents must use opportunities only for authorized insurance activity; protect consumer information; make timely, good-faith contact attempts; keep accurate disposition records; and comply with all applicable insurance, advertising, privacy, telemarketing, Telephone Consumer Protection Act, and federal and state do-not-call requirements.

7. Prohibited use

You may not sell, resell, share, assign, export, scrape, duplicate, publish, or otherwise distribute Legacy opportunities, consumer information, dashboards, reports, training materials, or access credentials except as expressly authorized in writing. You may not bypass access controls, interfere with the Site, impersonate another person, submit false information, reverse engineer any system, or use Legacy marks or content in a misleading or unauthorized manner.

8. Limited website license and intellectual property

Legacy grants you a limited, revocable, nonexclusive, nontransferable license to view the Site for its intended purpose. All Site content, branding, layouts, graphics, text, workflows, and related intellectual property are owned by or licensed to Legacy and are protected by applicable law. No ownership interest is transferred to you. You may not reproduce, modify, or commercially exploit Site content without prior written permission.

9. Electronic communications and SMS

When you provide an email address or mobile number and affirmatively request communications, you consent to receive onboarding, application-status, program, and service messages through the channels you selected. Message frequency varies, and message and data rates may apply. Reply STOP to end eligible text messages or HELP for help. Consent to receive marketing texts is not a condition of applying. Mobile opt-in information will not be sold or shared with third parties for their own marketing.

10. Privacy and consumer information

Your use of the Site is also subject to Legacy’s Privacy Policy. Agents who receive consumer information must use reasonable administrative, technical, and physical safeguards and may use that information only for the authorized purpose and in accordance with applicable law and signed agreements.

11. Accuracy, availability, and revisions

Site materials may include technical, typographical, or other errors. Legacy may correct or update information without notice and does not warrant that all content is complete, current, or error-free. Legacy may modify, suspend, or discontinue any part of the Site or any program at any time, subject to applicable signed agreements and law.

12. Third-party links and services

The Site may link to carrier, training, scheduling, electronic-signature, customer-relationship-management, or other third-party services. Legacy does not control those services and is not responsible for their content, security, availability, or separate terms. A link does not imply endorsement, and use of a third-party service is at your own risk.

13. Disclaimer of warranties

To the fullest extent permitted by law, the Site and its content are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, noninfringement, availability, or accuracy. Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.

14. Limitation of liability

To the fullest extent permitted by law, Legacy and its owners, officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost commissions, lost data, or business interruption arising from or related to the Site. Any liability that cannot lawfully be excluded will be limited as permitted by applicable law and any controlling signed agreement.

15. Suspension and termination

Legacy may restrict, suspend, or terminate Site or Lead Factory access for ineligibility, nonpayment, misuse, security concerns, compliance concerns, violation of these Terms, or violation of a signed agreement. Duties concerning confidentiality, consumer data, intellectual property, amounts owed, dispute resolution, and other provisions that by their nature should survive will continue after access ends.

16. Changes to these Terms

Legacy may revise these Terms by posting an updated version with a new effective date. Continued use of the Site after an updated version becomes effective constitutes acceptance of the revised Terms, except where separate notice or consent is required by law or a signed agreement.

17. Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute-resolution, venue, arbitration, or jury-waiver provision in a controlling signed agreement remains in effect and takes priority over this section.
